Abstract：
不同于前人的研究,文章首先分析了基于价值创造理论的公司治理结构的不足,认为只有从价值创造和价值分配角度分析出发,对传统的公司治理结构进行重建,设立“社会责任委员会”等类似组织并收取“社会责任基金”,才能有效解决企业社会责任事后被动相应问题.
